Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the JAGALX platform, websites, mobile apps, and related services (collectively, the “Service”), operated by JAGALX (“JAGALX”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorized to bind that business, which is the “Customer” under these Terms.
1. The Service
JAGALX is a multi-tenant operating system for trade contractors. It includes, among other features, an AI phone receptionist that answers calls and can book appointments, automated SMS and email messaging, lead/contact/job/estimate management, scheduling, and integrations with third-party tools. Features vary by plan and configuration and may change over time.
2. Accounts and eligibility
You must be at least 18 years old and provide accurate registration information. You are responsible for safeguarding your credentials and for all activity under your account and your workspace’s users. Notify us promptly of any unauthorized use.
3. Customer Data and your responsibilities
“Customer Data” means the data you and your users submit to or generate through the Service, including information about your own customers and prospects (names, phone numbers, addresses, job details), call recordings and transcripts, and messages. As between you and JAGALX, you own your Customer Data. You grant us a worldwide license to host, process, and transmit it solely to provide and improve the Service and as described in our Privacy Policy.
You are solely responsible for:
- Obtaining all consents and providing all notices required to collect, record, call, text, and email the individuals whose data you process through the Service.
- Complying with all laws applicable to your use, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state call-recording and two-party-consent laws, A2P 10DLC / carrier messaging requirements, and consumer-protection and privacy laws.
- Honoring opt-out requests (e.g. STOP) and maintaining the accuracy and legality of the content you send.
4. AI features and disclaimers
The Service uses artificial intelligence to answer calls, draft messages, classify and summarize information, and assist with scope and quantities. AI output can be inaccurate or incomplete. The AI does not set prices and does not make binding commitments; pricing, totals, scheduling availability, and final decisions are determined by deterministic logic and by you. You are responsible for reviewing AI-assisted output before relying on it. The Service is not a substitute for professional legal, financial, or tax advice.
5. Telephony, call recording, and messaging
When enabled, the Service can place and receive calls, record calls (with a spoken disclosure), and send and receive SMS. You configure the disclosure text, opt-out handling, and messaging content. You must register for A2P 10DLC where required and only send messages to recipients who have consented. We may suspend telephony or messaging features that we reasonably believe are non-compliant or that jeopardize carrier or platform access.
6. Acceptable use
You agree not to use the Service to:
- Violate any law or third-party right, or send unlawful, deceptive, or unsolicited messages.
- Upload malware, attempt to breach security, or interfere with the Service’s operation.
- Reverse engineer, resell, or use the Service to build a competing product.
- Send protected health information or other sensitive data except as expressly permitted.
7. Third-party services
The Service integrates with third parties (for example, Twilio, Anthropic, ElevenLabs, Google, Intuit QuickBooks, and email providers). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services. Some features degrade or are unavailable when the relevant integration is not configured.
8. Fees
Paid plans are billed per the pricing presented to you. Usage-based charges (such as telephony and messaging) may apply. Fees are non-refundable except as required by law or expressly stated. We may change pricing prospectively with notice.
9. Intellectual property
We and our licensors own the Service and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by us without restriction.
10. Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the Service and use it only to perform under these Terms.
11. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, or to protect the Service or its users. On termination, your right to use the Service ends; we will make Customer Data available for export for a limited period as described in our Privacy Policy, after which we may delete it.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You will indemnify and hold JAGALX harmless from claims arising out of your Customer Data, your content, or your use of the Service in violation of these Terms or applicable law, including messaging and call-recording compliance.
15. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there.
16. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
